The State of Florida Corporations is responsible for business filings and registration, as well as corporation regulation. The two primary functions of the State of Florida Corporations are to register Florida LLCs and businesses and to provide information regarding the activities and the filed records of these corporations.
This Department organizes and maintains information related to general partnerships, limited partnerships, corporations, trademarks, and limited liability companies. The State of Florida Corporations creates and enforces business laws in order to help protect individuals from fraud and deceit on behalf of corporations. If a complaint is made against a Florida LLC or corporation, this Department will examine the claim, investigate the business, and administer any necessary repercussions.
If a business wishes to operate in the State of Florida, it must register with the State of Florida Corporations as a foreign corporation. If the business has not yet been incorporated or registered as a domestic corporation in another state, then it may choose to register as a domestic corporation through the State of Florida Corporations.
This Department has increased the ease through which the filing process can be completed by creating an online filing system. Individuals are now able to register their businesses online. They can download the necessary documents from the State of Florida Corporations, complete these documents, and subsequently upload them to the Department’s website. An individual who wishes to register his/her business in Florida should review all relevant information provided by the Department.
